Our client seeks a Senior Statutory Officer to join their team. Key Responsibilities: Lead the process for incorporations, voluntary dissolutions, liquidations, re-domiciliations, and restorations. Oversee share restructures, including transfers, allotments, redemptions, consolidations, splits, and buy-backs. Draft, review, and approve corporate documentation, including resolutions, minutes, and statutory forms. Maintain and oversee all statutory registers, including members, directors, charges, and powers of attorney. Ensure accurate tracking of entities under administration: incorporations, resignations/losses, and pipeline activity. Supervise the preparation and filing of annual returns and ensure all statutory deadlines are met. Maintain oversight of the Power of Attorney register and related controls. Manage transactions such as mergers, demergers, reorganisations, and capital reductions/increases. Review and issue share certificates and update registers accordingly. Act as a senior point of contact with clients, regulators, and external advisers on statutory matters. Provide guidance to colleagues and clients on statutory and corporate governance requirements. Ensure compliance with Isle of Man FSA regulations, AML/CFT obligations, and internal governance policies. Prepare reports to management on entity numbers, statutory activity, and upcoming deadlines. Monitor and escalate risks, complex cases, or compliance issues to the Managing Director. Identify process improvements and implement best practices across the statutory function. Key Skills & Experience: 5+ years' experience in a corporate services/statutory role. Proven track record of managing statutory company administration across multiple jurisdictions is an advantage. Knowledge of Isle of Man Companies Acts, corporate law, and statutory requirements. Demonstrable experience with incorporations, continuations, liquidations, and restructures. Excellent drafting, reviewing, and technical documentation skills. High-level organisational skills with a proactive and detail-oriented approach. Strong communication and relationship management skills. Ability to work independently, manage multiple priorities, and take ownership of outcomes. Leadership skills to mentor junior staff and oversee statutory processes.
